Proforma — End User License Agreement

Effective date: August 17, 2026 Licensor: Contextualize LLC ("Contextualize")

Proforma is internal software developed and operated by Contextualize. It connects to Contextualize's QuickBooks Online company file and produces reconciled financial actuals for internal reporting and forecasting.

1. License

Contextualize grants authorized Contextualize personnel a non-exclusive, non-transferable, revocable license to use Proforma solely for Contextualize's internal business purposes.

2. Restrictions

Proforma may not be copied, distributed, sublicensed, sold, or otherwise made available to any third party. Authorized users may not use Proforma on behalf of any organization other than Contextualize.

3. Ownership

Proforma, including its source code, configuration, and documentation, is and remains the property of Contextualize. No ownership interest transfers under this agreement.

4. Third-party services

Proforma connects to QuickBooks Online, operated by Intuit Inc., and Google Sheets, operated by Google LLC. Use of those services is governed by their respective terms. Contextualize is not responsible for their availability, accuracy, or conduct.

5. No professional advice

Proforma produces financial reports and projections for internal planning purposes. Its output is not accounting, tax, audit, legal, or investment advice, and is not a substitute for review by a qualified professional. Figures should be verified against source records before being relied upon for any external purpose, including regulatory filings, financing, or reporting to third parties.

6. No warranty

Proforma is provided "AS IS" and "AS AVAILABLE," without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

7. Limitation of liability

To the maximum extent permitted by applicable law, Contextualize shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, or for any loss arising from use of, or reliance on, Proforma or its output.

8. Term and termination

This license remains in effect until terminated. Contextualize may modify, suspend, or terminate access at any time and for any reason. Sections 3, 5, 6, and 7 survive termination.

9. Governing law

This agreement is governed by the laws of the State of Colorado, United States, without regard to its conflict-of-laws provisions.
